  • In a landmark transaction, Adel led a 4-member international consortium in the successful bid and award of the 44% equity stake in Boursa Kuwait Securities Company KSCP (Kuwait Stock Exchange) through a winning financial bid of ~USD 67,000,000/--
     

  • Advises founder-led and venture-backed startups across the U.S. and MENA, bridging market entry, corporate structuring, regulatory strategy and investor relations; works closely with venture funds, family offices and strategic investors
     

  • Experienced across the financing continuum--early seed and pre-Series rounds (including SAFEs and convertible notes), bridge facilities and major equity (priced) rounds--negotiating term sheets, investor rights, governance, cap table design and protective provision to align growth and exits
     

  • Counsels private clients and family offices on cross-border real estate acquisitions, investment platforms and asset-protection structures (including trusts and SPVs) with U.S.-MENA touchpoints, integrating corporate, regulatory and enforcement considerations
     

  • Lead attorney in the 100% share purchase of a Lebanese dairy products producer consisting of one holding company several subsidiaries This USD 85,000,000/-- acquisition required navigating applicable Lebanese laws and regulations while considering English law issues under the share purchase agreement

  • Adel's experience also includes several high-profile litigation and arbitration claims, including a USD 60,000,000/-- English Law breach of contract arbitration claim in the International Chamber of Commerce (London)

  • Adel represents clients cross-border enforcement actions, working closely with clients and local counsel in several countries to form litigation and enforcement strategies with objective of enforcing judgments obtained in one jurisdiction over another
